It would be appropriate to be used in situations where the recipient of confidential information is an individual or an established business group or group of businesses. It is increasingly common for competition bans to be buried in NDAs. While this is more common in NSDAs in the context of acquisitions and in the context of employment, these provisions may also appear in team agreements. A non-competition clause requires a separate examination of the applicability of the legislation in force on the basis of duration and geographical coverage. The author proposes to rename an NDA with a non-competition clause “prohibition of competition” so that the restrictive intent of the agreement is clear in advance.
